Summary
When a business conducts activities in a state other than its state of formation, it will need to determine whether foreign qualification is required. This webinar “Doing Business in Other States: Foreign Qualification Requirements and Compliance” will define foreign qualification, discuss what steps are necessary to determine whether an entity is “doing business” in a foreign state, review the foreign qualification process and address the ongoing compliance obligations necessary for the business to remain in good standing in the foreign state. Additionally, we will review the statutory exemptions to foreign qualification (what does not constitute doing business) and discuss some relevant court decisions.
Finally, we will provide an overview of the practical tips and requirements for entities when they determine they are required to register, and ramifications when they fail to register.
