Activism: Every Season is Now Open Season – Dealing with the New Players and New Strategies Year-Round

To prepare for shareholder activism in the 2015 annual proxy season, companies should monitor their investor base now for signs that activists may be interested. Indeed, with the continuing surge in shareholder activism, we have found that activist investors are beginning their preliminary work on campaigns many months before the deadline for advance notice of nominations. Activists carefully screen companies and study defenses, and when they decide to invest, they often have their campaign strategy and tactics already determined. They then build stock positions in relative secrecy over a long period of time. By the time that a company learns of activist interest through public disclosure, the activist campaign may already be well underway. Therefore, advance preparation is critical.
